1. Acceptance of Terms; Eligibility

By creating an account, accessing, or using sharedHisaab (the "Service"), you ("you" or "User") agree to be bound by these Terms of Use (these "Terms"). The Service is provided by Holicow LLC, a Washington limited liability company ("Holicow," "we," "us," or "our").

You represent and warrant that:

(a) you are at least 18 years of age and have the legal capacity to enter into a binding contract; (b) you are a resident of the United States; and (c) you are not located in any jurisdiction subject to a U.S. embargo or designated as a "terrorist-supporting" country.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

sharedHisaab is a record-keeping application that allows users to track and split shared expenses among groups of users they choose to organize or join. The Service is a record-keeping tool only. Holicow is not a bank, money transmitter, payment processor, escrow agent, financial advisor, or party to any transaction between Users. We do not hold, transfer, or settle funds between Users.

3. User Responsibility for Accuracy of Shared Amounts

You alone are responsible for verifying that all amounts, splits, and balances entered or displayed in the Service are accurate.

The Service performs arithmetic on values that Users enter. Holicow does not independently verify the accuracy of any expense amount, split allocation, payer assignment, settlement, or balance. Calculations and balances shown by the Service are derived from User-entered data and may be incorrect for many reasons, including but not limited to: data entry errors, miscategorization, currency-conversion variance, intentional misreporting by a group member, software defects, sync conflicts, or stale data.

Before relying on any balance or split for purposes of paying, settling, or being reimbursed by another party, you must independently verify the underlying transactions, receipts, and amounts. You assume all risk of loss arising from inaccurate, incomplete, or fraudulent data within the Service.

Holicow is not responsible for, and disclaims all liability arising from:

(a) any User's failure to verify amounts before paying or settling; (b) any disagreement between Users about who paid what or who owes whom; (c) any decision a User makes in reliance on Service-displayed amounts; or (d) any inability to recover funds from another User following a transaction recorded in the Service.

4. Account Registration

You must register for an account to use the Service. You agree to:

(a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) keep your password confidential and not share your account with any other person; (d) notify us promptly at [email protected] of any unauthorized use of your account; and (e) be responsible for all activity that occurs under your account.

We may suspend or terminate your account at any time for any violation of these Terms.

5. Limited License to Use the Software

Subject to your ongoing compliance with these Terms, Holicow grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the sharedHisaab application on devices you own or control, solely for your own personal, non-commercial use.

You may not, and shall not permit any third party to:

(a) copy, modify, adapt, translate, reverse-engineer, decompile, or disassemble the Service; (b) sell, rent, lease, sublicense, redistribute, or otherwise commercially exploit the Service; (c) circumvent any access controls, license verification, payment mechanisms, or trial-period restrictions; (d) use the Service to develop a competing product or service; (e) remove, alter, or obscure any copyright, trademark, or other proprietary notice; (f) use the Service in any manner that violates applicable law; or (g) use the Service to harass, defraud, or harm another User.

All rights not expressly granted are reserved by Holicow.

6. Subscriptions, Trials, and Billing

6.1 Trial Period

Each new User account receives a 45-day free trial beginning at registration. During the trial, you may organize groups and use the full functionality of the Service. The trial is granted once per account; deleting and re-registering an account does not extend or restart the trial.

6.2 Subscription Tiers

After the trial, continued use of groups you organize requires an active subscription. Subscriptions are offered in three tiers:

You may purchase only one subscription at a time.

The Unlimited tier is intended to cover any reasonable household, extended-family, or personal-network use. To prevent abuse (such as automated mass-creation of groups), the Service applies a reasonable-use ceiling to the Unlimited tier; if you genuinely need more capacity than this ceiling allows, contact us at [email protected] and we will accommodate legitimate use. We reserve the right to adjust the ceiling without notice to maintain Service stability for all Users. We will not reduce the ceiling below 2,000 groups for any individual user without 30 days' advance notice.

Pricing may change with notice. Pricing changes do not affect existing subscriptions until renewal.

6.3 Payment Processing

Subscriptions are processed by Apple, Inc. through Apple In-App Purchase using the payment method on file with your Apple ID. By subscribing, you also agree to Apple's then-current Apple Media Services Terms and Conditions (available at https://www.apple.com/legal/internet-services/itunes/) and to any standard end user license agreement Apple applies to paid app subscriptions.

Holicow does not collect or store your payment card information.

6.4 Auto-Renewal and Cancellation

Your subscription will automatically renew at the end of each one-year term, charging the then-current price to the payment method on file with your Apple ID, unless you cancel before the renewal date.

Cancel at least 24 hours before the renewal date through your Apple ID's Subscriptions settings (on iOS: Settings → [your name] → Subscriptions; on macOS: App Store → account icon → Subscriptions). In-app, the Service provides a direct link to this Apple Subscriptions screen.

6.5 Grace Period and Data Retention After Lapse

If your subscription lapses (cancellation, payment failure, or trial expiration without purchase), affected groups enter a 90-day grace period. During the grace period, you and other group members retain read-only access and the ability to export your data. At the end of the 90-day grace period, the affected group and its associated data will be permanently deleted. This data deletion is irreversible.

6.6 No Refunds

All subscription fees are non-refundable except where required by law or expressly stated otherwise. Refund requests must be submitted to Apple through its standard refund process at https://reportaproblem.apple.com. Holicow does not issue refunds directly and does not control Apple's refund decisions.

6.7 Taxes

Subscription prices are exclusive of taxes. You are responsible for any applicable taxes.

7. User Content and Data

You retain ownership of the content you create in the Service (expense entries, group names, notes, etc.). By using the Service, you grant Holicow a worldwide, royalty-free, non-exclusive license to host, store, process, and display your content solely as necessary to operate and provide the Service to you and to the other members of any group you participate in.

You represent and warrant that:

(a) you have all necessary rights to the content you submit; and (b) your content does not violate any law, contract, or third-party right.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://holicow.app/sharedhisaab/privacy, which is incorporated by reference into these Terms.

9. Acceptable Use

You agree not to:

(a) use the Service to engage in fraud, money laundering, or any illegal activity; (b) misrepresent expense amounts, identities, or payer information to defraud other Users; (c) upload or transmit malicious code, viruses, or harmful content; (d) interfere with or disrupt the operation of the Service; (e) attempt to gain unauthorized access to any account, system, or data; (f) use automated means (scrapers, bots) to access the Service without our express written permission; (g) impersonate any person or entity; or (h) harass, threaten, or harm other Users.

10. Intellectual Property

The Service, including all software, text, images, designs, trademarks, and other content (excluding User content), is owned by Holicow or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual-property laws. Nothing in these Terms transfers any ownership to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. Holicow expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, freedom from defects, and uninterrupted operation.

Without limiting the foregoing, Holicow specifically disclaims any warranty that:

(a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the data, calculations, balances, or other information presented by the Service will be accurate, complete, or current; (d) any defects in the Service will be corrected; or (e) the Service will be compatible with any specific device, operating system, or third-party software.

Holicow is not a financial institution, bank, money transmitter, escrow agent, credit-reporting agency, or financial advisor. The Service does not provide financial, legal, tax, or accounting advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL HOLICOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to damages for lost profits, lost revenue, lost data, business interruption, or any disputes between Users about money, arising out of or in any way connected with your use of, or inability to use, the Service, regardless of the cause of action or theory of liability and even if Holicow has been advised of the possibility of such damages.

(b) HOLICOW'S TOTAL CUMULATIVE LIABILITY to you for any and all claims arising out of or relating to the Service, these Terms, or your relationship with Holicow, WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO HOLICOW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US $100).

(c) The limitations in this Section 12 apply regardless of the form of action and even if any limited remedy is found to have failed of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages. To that extent, the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Holicow, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

(a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any dispute between you and another User of the Service, including but not limited to disputes about money, amounts owed, or settlement of shared expenses.

Holicow reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with Holicow's defense.

14. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time, with or without notice, for any reason, including any violation of these Terms.

You may terminate by deleting your account through the in-app account-deletion flow.

Upon termination:

(a) your license to use the Service ends; (b) personally identifying information is anonymized in our systems consistent with our Privacy Policy; (c) records of your Terms acceptance(s) and certain billing records are retained for legal and audit purposes; (d) groups you organized enter the 90-day grace period for the benefit of other members; and (e) Sections 3 (User Responsibility), 7 (User Content license), 10 (IP), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), and any other provisions that by their nature should survive, will survive termination.

15. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

15.1 Informal Resolution

Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days.

15.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as modified here. The arbitration will be conducted in your county of residence in the United States, or by videoconference if both parties agree.

15.3 Class-Action Waiver

YOU AND HOLICOW EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of multiple users and may not preside over any form of representative proceeding.

15.4 Small Claims Carve-Out

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies under the rules of that court.

15.5 Batched Arbitration

If 25 or more arbitration demands of substantially similar nature are filed against Holicow within a 60-day period and represented by the same or coordinated counsel, all such demands will be administered in batches of no more than 50 demands per batch, with a single set of filing fees per batch and staggered scheduling. The parties will work in good faith with the AAA to implement this batched procedure.

15.6 Opt-Out

You may opt out of the arbitration agreement in Section 15 by sending written notice to [email protected] within 30 days of first accepting these Terms. The notice must include your name, account email, and an unambiguous statement that you opt out of arbitration. Opting out does not affect any other portion of these Terms.

16. Governing Law and Venue

These Terms and any dispute arising out of them are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in King County, Washington.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will (a) post the updated Terms within the Service, (b) update the "Last Updated" date and version, and (c) require you to review and accept the updated Terms before continuing to use the Service. Continued use of the Service after acceptance constitutes your agreement to the updated Terms.

19. Miscellaneous

(a) Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Holicow regarding the Service. (b) Severability. If any provision is held unenforceable, the remaining provisions remain in full effect. (c) No Waiver. Holicow's failure to enforce any right or provision is not a waiver of that right or provision. (d) Assignment. You may not assign these Terms without our prior written consent; we may assign these Terms freely. (e) Headings. Headings are for convenience only and have no legal effect.
